Acceptance of These Terms

These Terms & Conditions ("Terms") govern your use of www.psindia.com (the "Website") and your dealings with PSINDIA ("we", "us", "our") in relation to our software products. By using the Website, sending an enquiry or purchasing our software, you agree to these Terms. If you do not agree, please do not use the Website.

About PSINDIA and the Website

PSINDIA develops and supplies enterprise business software, including Enterprise POWERFUND PRO, ENTERPRISE CloudSecure PRO, SalesBooster, Suzerain and SuccessSales. The Website presents these products and lets you send us an enquiry. Product descriptions, dashboards and figures shown on the Website are illustrative of the software's capabilities and do not constitute an offer capable of acceptance.

Enquiries and Purchases

Our software is supplied on an enquiry basis. After you send an enquiry, we will contact you to understand your requirements and, where appropriate, provide a written quotation or order confirmation. A binding agreement is formed only when we confirm your order in writing. The scope, price, delivery method and any customisation are those stated in the written confirmation.

One-Time Investment

Unless the written confirmation states otherwise, our software is licensed for a one-time fee with no recurring monthly fees, no per-user restrictions and no renewal charges. Optional services such as customisation, data migration, hosting, training or extended support may be offered separately and will be described in writing before you order them.

Licence

On payment, PSINDIA grants you a non-exclusive, non-transferable licence to install and use the software for your own business purposes in accordance with the written confirmation and these Terms. You may not sell, sublicense, rent or lease the software, remove any proprietary notices, or use it to provide services to third parties unless we have agreed in writing.

Intellectual Property

The software, the Website and all related content, designs, logos, documentation and trademarks are owned by PSINDIA or its licensors and are protected by the laws of India and international treaties. Except for the licence expressly granted, no rights are transferred to you. You may not copy, modify, reverse engineer, decompile or create derivative works of the software except to the extent permitted by applicable law.

Delivery, Installation and Support

Delivery, installation, activation and support are carried out as described in the written confirmation. Where the software is installed on your own hosting or infrastructure, you are responsible for ensuring that it meets the requirements we communicate to you.

Your Responsibilities

• Provide accurate and complete information in your enquiry and order
• Keep your login credentials and licence details confidential
• Use the software and the data processed by it in compliance with applicable law and our Acceptable Use Policy
• Maintain your own backups of business data unless a backup service is expressly included

Payment and Taxes

Prices are stated in the written quotation or confirmation. Applicable taxes, including GST, are charged in addition unless stated to be included. Payment is due as stated in the confirmation, and software may be delivered or activated only after payment has been received.

Warranties and Disclaimers

We will supply the software with reasonable skill and care and substantially in accordance with its written description. Except as stated in these Terms or required by law, the software and the Website are provided "as is" without any other warranty, express or implied, including warranties of merchantability, fitness for a particular purpose or uninterrupted, error-free operation. Results obtained from the software, including sales outcomes and lead quality, depend on your data, usage and market conditions and are not guaranteed.

Limitation of Liability

To the maximum extent permitted by law, PSINDIA shall not be liable for any indirect, incidental, special or consequential loss, loss of profits, revenue, data or business opportunity arising from the use of or inability to use the software or the Website. Our total liability for any claim relating to a product shall not exceed the amount you paid us for that product. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnity

You agree to indemnify PSINDIA against claims, losses and expenses arising from your breach of these Terms, your unlawful use of the software, or data you collect, store or send using the software.

Third-Party Services

The Website and the software may interact with third-party services such as WhatsApp, e-mail providers, hosting providers or payment gateways. Those services are governed by their own terms and we are not responsible for them.

Suspension and Termination

We may suspend or terminate your licence if you materially breach these Terms or the Acceptable Use Policy and fail to remedy the breach after notice. On termination you must stop using the software and destroy all copies, except for your own business data.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms, the Website or the software shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

Changes to These Terms

We may revise these Terms from time to time. The revised Terms will be published on this page with a new "Last updated" date and apply to orders confirmed after that date.
